Terms of Service

Welcome to the booking and studio-management services provided by 三次方研究室有限公司 CubeLab Ltd. (Business ID: 95481008, "MeFresh", "we", "us", or the "Company"). By registering a business account, purchasing a plan, or using the Service, you acknowledge that you have read, understood, and agreed to these Terms.

1. Definitions and Scope

These Terms apply to beauty studios, independent beauty professionals, and other business operators that register for or pay to use MeFresh (a "Business"), and to employees, designers, and other members authorized by a Business ("Business Members").

A "Booking Customer" is a person who books through a dedicated booking page configured and managed by a Business using MeFresh. MeFresh does not itself offer beauty or other in-person services through that page.

The Business represents that it has authority to enter into these Terms and manage its account. The Business is responsible for its Business Members and their use of the Service.

2. MeFresh's Platform Role

MeFresh provides booking, customer-management, studio-management, payment-integration, and related technical tools only. The contract for beauty or other merchant services is between the Business and the Booking Customer. MeFresh is not the provider, agent, employer, partner, or guarantor of those services.

The Business is responsible for its service content and quality, pricing, availability, cancellation and late-arrival rules, health and safety information, collections, refunds, invoices or receipts, customer disputes, and all other applicable obligations.

3. Accounts, Access, and Security

The Business must provide accurate and current registration and billing information, protect passwords and third-party login credentials, and assign access according to job responsibilities. Administrator accounts may not be shared, rented, resold, or made available to unauthorized persons.

The Business must promptly notify MeFresh of unauthorized access, credential exposure, or another security incident. Except to the extent caused by MeFresh, the Business is responsible for account activity before notice is received.

4. Acceptable Use

The Business must operate lawfully and is responsible for its content, services, goods, staff, booking policies, and customer relationships. The Service may not be used for unlawful, fraudulent, misleading, infringing, harassing, or harmful conduct.

  • Do not attack, disrupt, bypass security controls, distribute malware, or impose unreasonable traffic on the Service.
  • Do not scrape, copy, reverse engineer, resell, or access the Service or its data without authorization.
  • Do not upload unlawful, infringing, or irrelevant content.
  • Do not send unauthorized marketing, spam, or messages that violate communications or privacy laws.

5. Customer Data and Service Records

The Business must enter only customer data necessary to provide its services and must provide all required notices, obtain required consents, and otherwise establish a lawful basis. Before entering allergies, medical history, or other health-related information, the Business must obtain legally sufficient written consent and apply appropriate safeguards.

The Business must not upload full identity-document copies, complete card details, payment passwords, account passwords, or unrelated high-risk data. It is responsible for the legality, accuracy, and necessity of free-text notes, photos, service-confirmation signatures, and checkout signatures it collects.

6. Bookings, Signatures, and Payment Integrations

The Business must configure and honor its booking, cancellation, rescheduling, late-arrival, service-confirmation, and refund policies. Customer service-confirmation and checkout signatures may be stored with booking records and receipt images; their evidentiary effect depends on the circumstances and applicable law.

When a Business connects its own LINE Pay merchant account, customer deposits and payments go directly to that account. MeFresh does not collect, hold, settle, or disburse those funds. MeFresh stores only necessary transaction status, amount, time, and transaction identifiers, not full card details, security codes, LINE Pay passwords, or complete payment credentials.

7. Content and Intellectual Property

Businesses, Business Members, and Booking Customers retain ownership of their pre-existing data and content. The Business grants MeFresh a limited, non-exclusive right to process that content only as necessary to provide, maintain, back up, improve, and protect the Service. MeFresh does not acquire ownership of customer lists, photos, service records, or signatures.

MeFresh and its licensors own the Service software, interface, trademarks, designs, documentation, and other MeFresh materials. They may not be copied, modified, distributed, or used beyond these Terms without written permission.

MeFresh may use aggregated statistics that no longer identify a person or Business for service analysis, security monitoring, and product improvement.

8. Privacy Roles

For customer data a Business collects and enters for its own operations, the Business is the collecting party and determines the purpose, while MeFresh generally processes the data under the Business's instructions. For business accounts, subscription billing, support, security, and MeFresh product analytics, MeFresh processes data as described in the Privacy Policy.

Each party must comply with applicable privacy law. Details about data categories, use, vendors, international transfers, retention, and individual rights appear in the Privacy Policy.

9. Plans, Fees, and Add-ons

Pricing, billing cycles, renewals, cancellations, and refunds for Lite, Pro, employee capacity, Enterprise plans, LINE Pay integration, Google Maps booking, and other add-ons are governed by the Subscription & Refund Policy, the purchase confirmation, and any individually negotiated agreement. Individually negotiated terms prevail in case of conflict.

When payment fails, the main account is downgraded to Lite under the Subscription & Refund Policy. Employee access beyond valid capacity is restricted after the applicable term and grace period. Existing Business data is not deleted merely because payment failed.

10. Third-Party Services

The Service may integrate Apple, Google, LINE, NewebPay, cloud hosting, analytics, notifications, and other third-party services. Those services are provided under their own terms and may change, fail, or impose restrictions. MeFresh will use reasonable efforts to maintain integrations but does not control third-party availability or decisions.

Businesses must also comply with applicable third-party terms. If a third party discontinues or materially changes a service, MeFresh may modify or discontinue the related integration and will provide notice when reasonably practicable.

11. Availability, Maintenance, and Backups

MeFresh uses reasonable technical and organizational measures to operate the Service, but does not guarantee uninterrupted or error-free operation or permanent compatibility with every device and third-party service. Planned or emergency maintenance, network failures, third-party outages, and force majeure may interrupt access.

If an outage attributable to MeFresh continues for more than 24 consecutive hours, MeFresh will extend the affected paid term by the actual outage days instead of issuing a cash refund. Planned maintenance, third-party failures, Business devices or networks, and force majeure are excluded.

MeFresh maintains reasonable backup and recovery measures but cannot guarantee that data will never be lost. Businesses should export important data regularly. If loss is attributable to MeFresh, MeFresh will use reasonable efforts to restore available backups.

12. Downgrade, Suspension, and Termination

When a paid main-account term expires or a payment remains unsuccessful after the grace period, the account is generally downgraded to Lite rather than suspended. The Business may still view and export existing Pro data, but may not add, edit, or operate Pro-only functions and remains subject to Lite's 80-booking limit.

MeFresh may immediately restrict access for a security threat, fraud, clear unlawful activity, infringement, or conduct likely to cause material harm, and will explain the reason afterward. Other remediable breaches will generally receive notice and seven days to cure.

A Business may cancel renewal or request account deletion. If MeFresh permanently discontinues all paid services for its own business reasons, it will provide reasonable notice and refund prepaid main-account and employee-capacity fees in proportion to unused days.

13. Changes

MeFresh may update these Terms for legal, functional, security, transaction-model, or operational reasons. Material changes will generally be announced by email at least 30 days before their effective date. Changes required immediately by law, security, or abuse prevention may take effect upon notice.

A Business that rejects a materially adverse change may cancel before it takes effect; eligible unused annual fees will be refunded pro rata. Continued use after the effective date constitutes acceptance. Changes are prospective only.

14. Limitation of Liability

To the maximum extent permitted by law, MeFresh is not liable for lost profits, expected revenue, loss of goodwill, indirect or consequential damages, or disputes between a Business and its Booking Customers concerning services, payments, or refunds.

MeFresh's aggregate liability for one event or a series of events arising from the same cause is limited to subscription fees actually paid by the Business during the 12 months before the event. Privacy-related liability is also subject to this limit to the maximum extent the law permits.

These limits do not apply to MeFresh's willful misconduct or gross negligence, or where liability cannot lawfully be excluded or limited.

15. Business Indemnity

If MeFresh faces a third-party claim, complaint, or penalty arising from a Business's unlawful services, false content, infringement, unlawful customer-data practices, or breach of promises to its customers, the Business must handle the matter and reimburse MeFresh for reasonable losses and necessary costs, except to the extent caused by MeFresh.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of China (Taiwan). The parties will first attempt in good faith to resolve disputes. If no resolution is reached, the Taiwan Taipei District Court will have jurisdiction at first instance, except where mandatory law requires otherwise.

17. Other Terms

These Terms, the Privacy Policy, the Subscription & Refund Policy, purchase confirmations, and individually agreed documents form the agreement for the Service. If one provision is invalid, the remaining provisions continue in effect.

A Business may not assign its rights or obligations without MeFresh's written consent. MeFresh may assign them in connection with a merger, reorganization, or business transfer, subject to applicable notice requirements.
